Scope of the Role
- SEC, Investor Relations & Corporate Finance: Support public-company reporting, investor communications, and corporate governance activities, including:
- Assist with quarterly/annual reporting (Forms 10-Q and 10-K), materiality, risk factor updates, and emerging disclosure trends.
- Assess Form 8-K filing requirements and prepare 8-K disclosures.
- Support Investor Relations (review press releases, investor presentations, earnings call scripts, and Q&A materials).
- Advise on non-GAAP measures, Regulation G compliance, and related disclosure/interpretive issues.
- Counsel on insider-trading compliance (10b5-1 plans, blackout windows, pre-clearance processes, employee education).
- Advise on Section 16 reporting obligations and director/officer matters.
- Support NYSE listing standards and corporate governance compliance.
- Assist with annual proxy statement updates and shareholder-facing disclosures.
- M&A: Lead/support global M&A and strategic transactions, including:
- Manage cross-functional legal workstreams for acquisitions, divestitures, partnerships, and transformative transactions.
- Oversee due diligence; draft/review/negotiation of transaction agreements; support carve-out, integration planning, restructuring, and corporate approvals.
- Prepare/coordinate antitrust/competition and other regulatory filings across jurisdictions.
- Advise senior leadership on transaction risks, opportunities, and structuring.
- Tax & Treasury: Legal guidance on tax and treasury matters, including financing, M&A-related tax structuring, and domestic/international tax.
- Board & Governance: Strategic support for Board of Directors and governance for a NYSE-listed, Irish-domiciled company.
- General Corporate Matters: Entity management, corporate compliance, and day-to-day corporate legal issues; partner with Finance, Tax, and Global Business Development.
Experience Required / Qualifications
- Qualified, licensed attorney; US admission preferred.
- Typically 6–10+ years legal experience supporting US publicly traded companies (combination of law firm and in-house preferred).
- Proven track record supporting a public company.
- Ability to manage senior executive relationships and collaborate with cross-functional stakeholders.
- Strong knowledge of relevant laws/regulations; ability to explain complex concepts clearly to stakeholders in different jurisdictions.
- Strategic thinking and business acumen; ability to balance legal and business objectives.
- Exceptional leadership, interpersonal, and communication skills (strong written communication).
- Discretion and integrity; handle sensitive information with confidentiality and ethics.
- Project management skills; manage multiple matters/deadlines (legal tech familiarity a plus).
Benefits
- Target base salary range (NJ): $200–225K.
