Role Summary
Global Head IP Transactions at Novartis. Lead high-energy and high-impact patent and IP diligence across more than 100 M&A and BD&L deals annually. Influence strategic decisions, collaborate with top-tier legal and business teams, and drive IP excellence for transformative medicines. Location: Cambridge, MA or East Hanover, NJ.
Responsibilities
- Coordinates, manages, leads, and drives the IP diligence and strategy for transactions (M&A and BD&L), analyzing IP issues (patents, trademarks, trade secrets) with enterprise, legal, and IP functions to provide proactive, timely, thorough advice.
- Provide clear, well-communicated IP advice for all M&A and BD&L deals, accommodating time-sensitive transactions and non-standard hours as needed.
- Develop and drive the IP and regulatory transaction governance framework; establish tools and processes; lead complex global IP transactions projects.
- Advise the Global Head IP and Global Head Legal Transactions, and other senior leaders on IP transactions and risk exposure, with strategies to minimize adverse consequences.
- Build strong interfaces with M&A/BD&L colleagues to ensure IP teams support all IP aspects of transactions; manage external counsel providing diligence information and contract clauses.
- Ensure exchange of information and know-how across the enterprise; provide training so in-house and external lawyers handle IP transactions consistently and proactively; alert stakeholders early to IP issues affecting deal business cases.
- Lead the IP Transactions team, ensuring services are timely, proactive, targeted, and high quality.
- Retain and develop key talents within IP, particularly in IP transactions.
- Member of IP Leadership Team (IPLT) and Transactions Legal Leadership Team (TLLT).
Qualifications
- Law (JD) degree from an accredited law school, admitted to practice in a major commercial US jurisdiction (e.g., NY, MA, or NJ).
- Extensive, multi-year IP transactions and diligence experience within a pharmaceutical company or with healthcare clients, including experience leading a team.
- Strong knowledge of Regulatory, Antitrust, Contracts, with understanding of Corporate and Tax.
- Proven ability to work under time pressure with demanding clients and manage high-volume, complex projects simultaneously.
- Proficiency in English (written and spoken); other languages a plus.
