Role Summary
Director, Corporate & Securities Counsel at Viridian Therapeutics, Inc. Based in Waltham, MA with hybrid in-office schedule; responsible for managing SEC filings, corporate governance, board support, and related legal matters to support Viridian’s business needs.
Responsibilities
- Provide expert advice and support on securities laws, corporate governance, corporate secretarial and general corporate matters
- Prepare and manage the Company’s SEC filings, including periodic reports, current reports, proxy statements, Section 16 filings, securities offerings and other related filings
- Provide legal support and guidance with respect to equity plan administration and trading windows
- Assist the CLO in staying current on and advising the Board regarding governance related matters
- Collaborate and provide legal guidance on external communications, such as earnings releases, press releases, and investor presentations
- Collaborate on business development and financing transactions and legal due diligence activities
- Provide on-boarding training and other training on Company related legal topics as needed
- Provide support for legal projects as needed, including employment matters, trade compliance, business development, and other legal projects
- Interact effectively and cross-functionally with internal business clients at various levels of management and across the Company
- Effectively and efficiently work manage outside counsel on a variety of matters
- Collaborate effectively and efficiently as a member of Viridian’s internal legal team
Qualifications
- Juris Doctor from a national law school and strong academic credentials
- Admission to, and in good standing with, the bar of at least one state or the District of Columbia
- Minimum of 5+ years of progressive legal experience, including meaningful experience in a law firm managing US securities transactional and regulatory matters
- Strong knowledge of US securities laws and corporate governance
- Experience in corporate governance matters and financing transactions
- General experience supporting a business
- Broad understanding of the pharmaceutical and/or life sciences industry (preferred)
