Role Summary

AbbVie seeks an accomplished corporate lawyer with practical legal judgment to advise corporate functions on securities and finance-related matters. The Associate General Counsel, Securities and Finance will join a team of lawyers primarily advising Financial Reporting & Accounting, Treasury, Investor Relations, Executive Compensation, and other corporate functions. The role requires the ability to manage complex, fast-paced legal assignments and provide practical in-house legal guidance on a wide range of securities and finance matters.

Responsibilities

  • Advise on corporate disclosure matters and compliance with corporation laws, stock exchange listing standards, SEC reporting and compliance rules and regulations, and related corporate policies.
  • Draft and review periodic reports including Form 10-K, 10-Q, 8-K, proxy statements, and other SEC-related forms (including Forms 3, 4 and 5).
  • Lead legal support to the Disclosure Committee.
  • Lead legal support for corporate finance and securities transactions, including bank financings and equity/debt offerings; advise on indentures and loan documents; support financing aspects of M&A, joint ventures, licensing, and other transactions.
  • Lead legal support in stockholder relations, including stock issuance, dividends, transfer operations; assist finance and investor relations with stockholder correspondence, annual reports, earnings materials, press releases, scripts, and investor decks for earnings calls.
  • Advise on implications of policy changes from the SEC or other regulators and help shape external policy environment.
  • Provide practical in-house legal advice on a wide range of securities and finance matters; support talent development within the Legal function through mentorship and leadership.
  • Analyze and clearly communicate concise legal advice to internal clients, including management.

Qualifications

  • Required:
    • Juris Doctor (J.D.) from an accredited law school
    • Active license to practice law in the job location
    • Minimum of 7 years of legal experience, including in-house or cross-functional legal advisory roles
    • Proven ability to influence senior stakeholders and lead through ambiguity
    • Strong strategic thinking, judgement, and business acumen
    • Superior communication, analytical, organization, and negotiation skills, including ability to convey complex securities and finance issues clearly
    • Sound judgment to identify and quickly address critical issues
    • Urgency and drive for successful business outcomes
    • Excellent creative thinking and problem-solving skills
  • Preferred:
    • Background in life sciences, healthcare, or highly regulated global industry
    • Experience drafting and negotiating bank credit facilities and debt offering documentation
