Role: Transactions Counsel supporting Flagship Pioneering's complex corporate transactions, including venture financings, M&A, IPOs, licensing, and collaborations, primarily for high-growth, innovative biotech companies within the Flagship portfolio. Responsibilities: partner with internal teams and external counsel on deal negotiations; review and draft financing, governance, and transaction documents; advise on corporate governance, compliance, and best practices; manage external legal teams to ensure transaction closure; build relationships across stakeholders. Requirements: JD from an accredited US law school; 3-5 years of relevant experience, preferably at a recognized law firm; strong understanding of equity financing, corporate governance, and securities law; experience managing transaction components independently and driving deals to completion; excellent communication, interpersonal, and client management skills. High-Value: focus on venture financings, M&A, licensing; tech stack includes legal research tools; cross-disciplinary collaboration across legal, finance, and business development; fast-paced, high-volume environment; remote/hybrid work with no specific travel noted.
