Job Summary:
- Senior Counsel providing legal support across corporate governance, securities compliance, and mergers and acquisitions.

Responsibilities:
Corporate Governance & Securities
- Advise Board of Directors, board committees, and senior management on corporate governance matters.
- Prepare and review SEC filings and disclosures (Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings), including 10b5-1 plan process and preclearance approvals.
- Ensure securities law compliance (Securities Act of 1933, Exchange Act of 1934, stock exchange rules).
- Manage subsidiary compliance and filings (including international subsidiaries) with tax and finance.

Mergers & Acquisitions / Corporate
- Support domestic and cross-border M&A from inception through closing.
- Conduct legal due diligence, transaction management, and integration planning.
- Draft, review, and negotiate transaction documents (NDAs, LOIs, purchase/merger agreements, ancillary agreements).
- Coordinate with outside counsel and internal stakeholders on timelines and deliverables.
- Support corporate finance and strategic initiatives (e.g., joint ventures, growth projects).

ESG Reporting & Disclosures
- Partner with internal stakeholders and outside consultants to develop the annual ESG report.

General Legal & Special Projects
- Provide general corporate legal support and assist with special projects.
- Support legal department operational excellence initiatives.

Qualifications:
- J.D., licensed to practice law in the U.S.; active state bar membership in good standing.
- 6–9 years in-house or law firm experience.
- M&A and general corporate matters experience required; experience managing corporate subsidiaries (including international) required.

Required/Preferred Skills
- Strong securities law, public company reporting, and corporate governance knowledge.
- Working knowledge of public company equity plans; equity plan administration support preferred.
- Strong drafting, analytical, organizational, communication, and business judgment skills.
- Ability to manage multiple matters in a fast-paced, global environment; self-motivated and collaborative.

Compensation/Benefits:
- Estimated base salary range: $206,500–$250,000 (new hire).
