About The Role
Senior Paralegal (Hybrid: requires three days per week in the office) reporting to the General Counsel. Operational backbone of Legal and Compliance, managing critical workflows across subsidiary governance, intellectual property, litigation support, contract administration, and special projects.
Key Responsibilities
- Own and maintain global subsidiary governance program and annual compliance filings.
- Maintain corporate records (articles/bylaws/operating agreements/minute books/officer-director registers).
- Prepare board/shareholder resolutions, written consents, and officer certificates.
- Coordinate with registered agents/local counsel for good standing and regulatory requirements.
- Support Corporate Secretary functions (materials, minutes, director communications).
- Serve as a go-to resource for Finance/Tax/Treasury entity-level matters (organizational charts, intercompany agreements).
- Coordinate ESG Steering Committee.
- Lead cross-functional legal projects; track deliverables and communicate status.
- Oversee legal spend tracking, invoice review, budget monitoring, and outside counsel coordination.
- Support legal operations continuous improvement and organize department meetings/off-sites.
- Coordinate patent/trademark portfolio management; manage ANDA/NDA activities and IP dockets.
- Support IP due diligence (file histories, freedom-to-operate, assignment recordation).
- Support litigation matters (product liability, Paragraph IV, investigations, disputes); manage litigation holds, discovery workflows, e-discovery, and privilege logs.
- Prepare regulatory/investigation/internal compliance materials with confidentiality.
- Administer contract lifecycle management (CLM) system; maintain templates and track milestones/renewals.
- Manage end-to-end document execution (e-signature, executed files) and implement process improvements.
- Manage document management, legal spend/budget, vendor coordination, and legal training platform.
- Originate legal communications with professionalism.
Skills
- Corporate/subsidiary governance experience in a publicly traded environment.
- CLM system proficiency (SecureDocs or comparable), MS Office, DocuSign.
- Ability to manage multiple concurrent high-priority workstreams with sound judgment.
- High integrity, discretion, and confidentiality; exceptional written/verbal communication.
Requirements
- Paralegal certificate from an ABA-approved program or degree from an accredited 2- or 4-year college.
- 7+ years paralegal experience; life sciences/pharmaceutical matters strongly preferred.
- Active Notary Public certification.
- <10% travel.
