Responsibilities:
- Serve as an IP advisor to Corporate Development for acquisitions, licensing transactions, collaborations, joint ventures, divestitures, and other strategic transactions.
- Lead comprehensive IP due diligence (freedom-to-operate, portfolio strength, exclusivity, and identification of material IP risks/value drivers).
- Present clear diligence findings and recommendations to executive/transaction/legal leadership to support decision-making, valuation, negotiation strategy, and deal structuring.
- Partner with stakeholders on post-transaction integration, including patent portfolio optimization, ownership alignment, prosecution strategy harmonization, and value enhancement.
- Develop and execute global patent strategies to support business objectives and maximize value of internally developed and externally acquired/licensed assets.
- Build and manage patent portfolios from invention capture through issuance and lifecycle management.
- Provide input into transaction documents (licensing/collaboration/acquisition agreements, diligence reports, reps/warranties, IP covenants, integration provisions).
- Conduct freedom-to-operate, infringement, validity, patentability, and competitive landscape analyses; develop risk mitigation strategies.
- Manage outside counsel for prosecution, due diligence, litigation, opinions, and related matters.
- Counsel senior and cross-functional teams on IP risks/opportunities, exclusivity, competitive positioning, and portfolio optimization.
- Review public disclosures (publications, presentations, press releases) to protect patent rights.
- Advise on and/or lead contentious matters (patent litigation, IPRs/PGRs, European oppositions).
- Lead/contribute to initiatives improving IP operations, diligence capabilities, and portfolio management.
Required Skills/Qualifications:
- Fully qualified U.S. Patent Attorney or Agent with 10+ years of relevant IP experience in biopharmaceuticals, including significant in-house work supporting corporate development/transactions.
- Undergraduate degree in biological sciences/biochemistry/chemistry or related; advanced degree preferred.
- Significant experience leading IP due diligence and maximizing value of acquired/licensed portfolios.
- Deep expertise in patent portfolio development, lifecycle management, exclusivity, freedom-to-operate, and competitive intelligence.
- Ability to work in a fast-paced environment; independent and collaborative.
- Excellent written/verbal/presentation skills; can translate complex legal/scientific concepts into business recommendations.
- Strategic, proactive problem-solver with strong cross-functional influence.
- Strong project management and ability to manage multiple high-impact initiatives.
- Patent litigation and post-grant proceedings/oppositions preferred/plus.
