Corporate Functions
The Senior Director, Corporate Counsel, Intellectual Property (IP), will develop and execute global patent and IP strategies for products, product candidates, platform technologies, and newly acquired/licensed assets, supporting corporate growth objectives.
Key Job Responsibilities
- Serve as an IP advisor to Corporate Development for acquisitions, licensing transactions, collaborations, joint ventures, divestitures, and other strategic transactions.
- Conduct IP due diligence (freedom-to-operate, portfolio strength, exclusivity assessments, and IP risk/value-driver identification).
- Provide actionable diligence findings and recommendations to executive and legal leadership to support valuation, negotiation strategy, and structuring.
- Develop and execute post-transaction integration strategies (patent portfolio optimization, ownership alignment, prosecution strategy harmonization).
- Develop and execute global patent strategies to strengthen competitive positioning and maximize value of internal and acquired/licensed assets.
- Build and manage global patent portfolios from invention capture through issuance and lifecycle management.
- Advise on transaction documents (licensing, collaboration, acquisition agreements, IP covenants, integration provisions).
- Perform FTO, infringement, validity, patentability, and competitive landscape analyses; develop risk mitigation strategies.
- Manage outside counsel for prosecution, due diligence, litigation, opinions, and other strategic matters.
- Counsel leaders on IP risks/opportunities, exclusivity, competitive positioning, and portfolio optimization; review public disclosures to protect patent rights.
- Advise on and/or lead contentious matters (patent litigation, IPRs, PGRs, European oppositions).
Required/Preferred Qualifications
- Fully qualified U.S. Patent Attorney or Agent with 10+ years of IP experience in biopharma; substantial in-house corporate development, licensing/collaboration, and M&A experience.
- Undergraduate degree in biological sciences/biochemistry/chemistry or related field; advanced degree preferred.
- Significant experience leading IP due diligence and evaluating/integrating patent portfolios.
- Deep expertise in patent portfolio development, lifecycle management, exclusivity, FTO, and competitive intelligence.
- Strong written/verbal/presentation skills; ability to distill complex legal/scientific concepts for senior executives.
- Strategic, flexible, independent self-starter; proven cross-functional influence.
- Project management/prioritization; experience in litigation and post-grant proceedings is a plus.
