Senior Counsel, Transactions

Role: Senior Counsel, Transactions at a publicly traded life sciences company, providing legal support on corporate, commercial, and transactional matters. Responsibilities: draft, review, and negotiate a variety of contracts including vendor, license, supply, clinical trial, and managed care agreements; advise business units on legal risks and compliance; collaborate with external counsel; assist with M&A, capital markets, and debt transactions; ensure adherence to biopharma industry regulations and internal policies. Requirements: JD degree, 5+ years of transactional experience preferably within a biopharma or life sciences environment; active state bar membership; strong contract drafting and negotiation skills; ability to manage multiple priorities independently. Preferred: experience in biotech or pharmaceutical sectors, familiarity with regulatory compliance, GxP, clinical trial agreements, and corporate transactions. High-Value: legal support for biopharma operations, industry-specific compliance and contractual negotiations. WorkSetup: hybrid Chicago role, requiring a minimum of three days in-office per week, with occasional evening, weekend work, and infrequent travel.
