Senior Counsel, Life Sciences

Role: Senior Commercial Attorney leading Certara's legal contracting in the U.S., focusing on software, data, and scientific services transactions within the biopharma and life sciences industries. Responsibilities: negotiate complex master service, SaaS, licensing, data privacy, vendor, collaboration, and development agreements; serve as escalation point for legal and commercial revisions; develop contract playbooks, templates, and negotiation guidance; manage legal content for order forms and task orders; support legal aspects of data licensing and multi-party collaborations; mentor junior attorneys and improve contracting processes. Requirements: JD with active U.S. license; 5+ years in law firm and/or in-house roles, with substantial experience in commercial life sciences, biotech, health tech, or software sectors. Proven track record in drafting and negotiating MSAs, SaaS licenses, privacy/data rights, and multi-party agreements; familiarity with HIPAA, GDPR, and GxP considerations. Strong legal judgment, risk assessment, and stakeholder communication skills. Preferred: experience with contract playbooks, templates, legal service providers, and operational metrics.
