Senior Counsel, Corporate, Securities & Transactions

Role: Senior Counsel, Corporate, Securities & Transactions at Allogene, supporting the legal functions of a biotech publicly traded company. Responsibilities: draft and review SEC filings (Forms 10-K, 10-Q, 8-K), advise on corporate governance, Board and committee support, and manage shareholder meeting processes; draft and negotiate strategic agreements related to partnerships, licensing, M&A, and collaborations; support legal aspects of transactions, manage outside counsel, and provide practical legal advice across functions. Requirements: J.D. from an accredited law school, active membership in at least one U.S. state bar (California preferred), minimum 8 years of corporate/securities experience, including advising public companies on SEC reporting, governance, and strategic transactions; biotech or life sciences experience preferred.
