Purpose:
Responsible for setting and leading enterprise strategy, design, governance, and delivery of executive compensation programs (base pay, annual incentive, long-term incentive, and executive benefits/perquisites). Provides strategic counsel to CEO/CHRO/CFO/senior leadership; partners with the Board Compensation & Benefits Committee; ensures alignment to business strategy, talent outcomes, shareholder expectations, and regulatory/competitive environment. Owns executive compensation policy and global operating rhythms, including required regulatory filings/disclosures and monitoring of market/regulatory trends.
Key Responsibilities:
- Own global executive compensation philosophy and program architecture; align to strategy, performance outcomes, and shareholder perspectives.
- Advise senior leaders/HR with market-informed, data-driven recommendations on executive pay decisions, governance, and risk.
- Lead CEO/CHRO/CFO and Board materials (annual cycles, special topics, ad hoc requests).
- Oversee executive market benchmarking and competitive intelligence (peer design; pay and pay-for-performance outcomes).
- Drive continuous improvement of executive compensation processes/tools/governance.
- Oversee executive lifecycle compensation decisions and administration (reviews, promotions, offers, transitions, separations) under policy/delegated authorities.
- Own executive compensation disclosure strategy/delivery (CD&A, proxy tables, analyses for public filings).
- Oversee proxy advisor engagement readiness/modeling (e.g., ISS, Glass Lewis).
- Monitor regulations/disclosure/accounting-tax implications/shareholder voting trends; translate to program design.
- Set compensation communications strategy.
- Lead cross-functional governance with Legal, Finance/Accounting, Tax, Audit, Total Rewards, and the Boardβs independent consultant.
- Build/lead/coach/develop the executive compensation team.
Qualifications / Requirements:
- Bachelorβs degree (advanced degree strongly preferred).
- 12+ years in executive and equity compensation (global program design/governance/delivery).
- 5+ years people leadership experience.
- Exceptional written/verbal communication; influence at senior levels.
- Executive/Board-ready materials; strong judgment, discretion, and risk-aware decisioning.
- Advanced analytical and governance/financial acumen; synthesize performance/market/accounting-tax/governance inputs.
- Strong attention to detail; operate with pace and rigor.
- Partner with Finance on pay-for-performance outcomes and accounting impacts.
- Lead multiple complex workstreams; strong cross-functional partnership.
Preferred Requirements:
- MBA or advanced degree in HR/Business/Finance/Economics (or related).
- Experience in a highly regulated, publicly traded global company; healthcare/life sciences preferred.
