Director, Exec Compensation (Raynham, MA; Raritan, NJ; West Chester, PA; Palm Beach Gardens, FL; Warsaw, IN, US)
Purpose:
Responsible for enterprise strategy, design, governance, and delivery of executive compensation programs (base pay, annual incentive, long-term incentive, executive benefits/perquisites). Provides strategic counsel to CEO/CHRO/CFO/senior leadership; partners with the Compensation & Benefits Committee; ensures alignment to business strategy, talent outcomes, shareholder expectations, and regulatory/competitive environment. Owns global executive compensation policy, operating rhythms, and regulatory filings/disclosures.
Key Responsibilities:
- Own global executive compensation philosophy and program architecture.
- Advise senior leadership and HR partners with market-informed, data-driven recommendations.
- Lead annual/ad hoc CEO/CHRO/CFO and Board materials and recommendations.
- Oversee market benchmarking and competitive intelligence; design/interpret peer groups and pay-for-performance outcomes.
- Improve compensation processes/tools/governance for effectiveness and scalability.
- Oversee executive lifecycle compensation decisions/administration (reviews, promotions, offers, transitions, separations).
- Own disclosure strategy and delivery (CD&A, proxy tables, analyses).
- Oversee proxy advisor readiness/modeling (ISS, Glass Lewis) and scenario planning.
- Monitor regulations/accounting/tax implications and shareholder voting trends; translate into governance recommendations.
- Set compensation communications strategy.
- Lead cross-functional governance/compliance with Legal, Finance/Accounting, Tax, Audit, Total Rewards, and independent consultant.
- Build/lead/coach executive compensation team.
Qualifications/Requirements:
- Bachelorβs degree required; advanced degree strongly preferred.
- 12+ years in executive/equity compensation (global program design/governance/delivery).
- 5+ years people leadership.
- Exceptional written/verbal communication; create board-ready narratives/materials.
- Judgment/discretion; data- and governance-grounded recommendations.
- Strong analytical/financial/governance acumen; synthesize complex inputs.
- Attention to detail; pace/rigor in time-sensitive situations.
- Partner with Finance on pay-for-performance, dilution/overhang, accounting.
- Lead multiple workstreams; strong cross-functional partnership.
Preferred Requirements:
- MBA or advanced degree in HR/Business/Finance/Econ (or related).
- Experience in a highly regulated, publicly traded global company; healthcare/life sciences preferred.
