Role (Law Department Attorney)

Responsibilities:
- Counsel the company on licensing, business development, strategic transactions, research collaborations, and services arrangements.
- Draft, review, and negotiate agreements; advise senior management on proposed transactions.
- Ensure compliance with existing contractual obligations, company policy, and applicable law.
- Partner with senior management and business development on collaborations, partnerships, and licensing agreements.
- Negotiate and draft licensing, collaboration, services, and related agreements, including novel deal structures.
- Support collaborations with the alliance management team and provide legal counsel as issues arise.
- Coordinate with the intellectual property team to protect and manage IP assets.
- Advise on regulatory and legal matters affecting arrangements (privacy, antitrust, securities, corporate law).
- Manage outside counsel relationships, including strategy, workstreams, and budget oversight.

Qualifications:
- JD with strong academic credentials; BA/BS required.
- 8+ years of experience negotiating and drafting complex agreements in biotech, pharma, or life sciences.
- In-house experience preferred; biotech experience strongly preferred.
- Licensed to practice in New York, or eligible for licensure as registered in-house counsel.

- Deep expertise in contracts law (drafting, negotiation, risk analysis).
- Ability to manage high volume of requests and competing priorities.
- Strong track record in business development, strategic alliances, partnerships, and collaborations.
