Discover Your Role
- Serve as a dedicated resource for global subsidiary management, supporting Regeneron’s approximately 30 domestic and international subsidiaries across legal and corporate governance requirements (statutory financial statement audits, corporate filings, and banking mandates), coordinating with Tax, Finance, Treasury, and Accounting/Financial Reporting.
- Manage and maintain the cloud-based corporate document database (hCue), ensuring data integrity and accessibility.
- Draft and maintain shareholder and board resolutions, consents, agendas, secretary’s certificates, and other records.
- Provide legal advice regarding certain intercompany transactions, including intercompany financing arrangements.
- Assist with shareholder/equityholder meeting matters.
- Assist with board and committee meetings for subsidiaries.
- Oversee formation and setup of future domestic and international subsidiaries across jurisdictions and cross-functional teams; manage competing priorities and reduce reliance on outside counsel.
- Support corporate governance and securities matters as needed, including SEC reporting (Forms 10-K/10-Q/8-K), Section 16 reporting, financing matters/treasury support, and corporate transactions.

This Role Requires
- JD with excellent law school credentials.
- Licensed to practice law in New York, or eligible for licensure as registered in-house counsel in New York.
- 8–10 years of experience in SEC reporting, public company compliance, corporate governance, and/or global subsidiary management.
- Strong plus: experience with international subsidiary management and cross-border corporate governance.
- Preferred: law-firm training; plus: prior in-house experience.
