Brief Description
- The Director, Corporate and Securities provides leadership on corporate, securities, and governance matters for the Legal department.

Essential Functions/Responsibilities
- Securities and Corporate Governance
- Ensure compliance with federal/state securities laws, including ’34 Act and ’33 Act reporting, Nasdaq compliance, Regulation FD, and insider trading.
- Prepare and/or review SEC filings: Form 10-K, 10-Q, 8-K, proxy statement, Section 16 filings, and registration statements.
- Maintain governance policies and practices (corporate governance guidelines, committee charters, other governing documents).
- Investor Relations and Executive Compensation
- Review, advise, and assist with quarterly earnings releases, investor presentations, quarterly/annual reports, sustainability reports, and other external communications.
- Advise on executive compensation activities; maintain/update form equity award agreements.
- Support Total Rewards in administering employee compensation benefits programs.
- Other
- Collaborate with and advise departments including finance, accounting, tax, and internal audit.
- Support capital markets transactions (debt offerings, credit agreements) and strategic initiatives (M&A support, dispositions, joint ventures, investments).
- Provide corporate governance support, including Corporate Sustainability and Social Impact/ESG.
- Perform additional assigned functions/projects.

Required Knowledge, Skills, and Abilities
- J.D. from an accredited law school; licensed to practice law in the U.S.
- Member in good standing in a state bar with no prior suspensions or disciplinary history.

Required/Preferred Education and Licenses
- Minimum 7 years combined in-house and/or law firm experience; biotech/pharmaceutical experience preferred.
