Brief Description
The Director, Corporate and Securities reports to the Executive Director, Corporate and Securities, and leads corporate, securities, and governance matters for the Legal department, including SEC/Nasdaq compliance, SEC filings, board support, and advice on corporate governance, investor relations, and executive compensation.
Essential Functions/Responsibilities
- Ensure compliance with federal/state securities laws, focusing on ’34 Act and ’33 Act reporting, Nasdaq compliance, Regulation FD, and insider trading.
- Prepare and/or review SEC filings: Form 10-K, 10-Q, 8-K, proxy statement, Section 16 filings, and registration statements.
- Maintain governance policies and practices (corporate governance guidelines, committee charters, governing documents).
- Review/advise quarterly earnings releases, investor presentations, quarterly/annual reports, sustainability reports, and other external communications.
- Advise executive compensation activities; maintain/update equity award agreements.
- Support Total Rewards with administration of employee compensation benefits programs.
- Collaborate with and advise finance, accounting, tax, internal audit, and others.
- Provide secondary support for capital markets and strategic transactions (debt offerings, credit agreements, treasury matters; M&A support, dispositions, joint ventures, investments).
- Provide corporate governance support, including Corporate Sustainability and Social Impact/ESG.
- Perform additional assigned functions/projects.
Required Knowledge, Skills, and Abilities
- J.D. from accredited law school; licensed to practice law in the U.S.
- State bar membership in good standing (no prior suspensions or disciplinary history).
- 7+ years combined in-house and/or law firm experience; biotech/pharma experience preferred.
- Self-motivated, proactive, strategic, excellent judgment; strong multi-tasking and adaptability.
- Strong legal analysis; ability to present, train, and educate stakeholders.
- Strong organizational/project management and leadership/communication/interpersonal skills.
