Director, Corporate Counsel- Corporate and Securities

Role: Director of Corporate and Securities at a biopharma company, overseeing securities, governance, and legal compliance for a publicly traded organization. Responsibilities: ensure SEC and Nasdaq compliance; draft and review SEC filings (e.g., 10-K, 10-Q, proxy); advise on corporate governance, investor relations, and executive compensation; support capital markets, M&A, and strategic transactions; collaborate with finance, legal, and other departments; assist with ESG initiatives.
