Brief Description
The Director, Corporate and Securities provides leadership on corporate, securities, and governance matters.

Responsibilities
- Ensure compliance with federal/state securities laws (’34 Act and ’33 Act reporting), Nasdaq compliance, Regulation FD, and insider trading.
- Prepare and/or review SEC filings, including Form 10-K, 10-Q, 8-K, proxy statement, Section 16 filings, and registration statements.
- Maintain governance policies and practices (corporate governance guidelines, committee charters, governing documents).
- Review, advise, and assist with quarterly earnings releases, investor presentations, quarterly/annual reports, sustainability reports, and other external communications.
- Advise on executive compensation activities; maintain/update form equity award agreements.
- Support the Total Rewards team with administration of employee compensation benefits programs.
- Collaborate with and advise cross-functional teams (finance, accounting, tax, internal audit, etc.).
- Support capital markets transactions and strategic initiatives (debt offerings, credit agreements, treasury matters, M&A, dispositions, joint ventures, investments).
- Provide corporate governance support, including Corporate Sustainability and Social Impact/ESG.

Required Qualifications
- Juris Doctorate (J.D.) from an accredited law school; licensed to practice law in the U.S.
- Member in good standing with no prior suspensions or disciplinary history.

Required/Preferred Experience & Skills
- Minimum 7 years combined in-house and/or law firm experience (biotech/pharma experience preferred).
- Self-motivated, proactive, strategic, excellent judgment.
- Ability to multi-task, pivot in a fast-changing environment.
- Strong legal analysis; identify legal/compliance issues.
- Ability to present, train, and educate stakeholders.
- Strong organizational/project management skills; independent, action-oriented leader.
