Corporate Paralegal

Role: Corporate Paralegal supporting governance, compliance, and contract management for a biopharma company commercializing ophthalmic therapies for wet AMD. Responsibilities: prepare corporate records, manage subsidiary governance, support SEC filings and Section 16 processes, draft/review commercial agreements (NDAs, vendor, consulting), oversee contract lifecycle, maintain legal files and templates, collaborate with cross-functional teams (Finance, HR, Commercial), and support international corporate matters as needed. Requirements: Bachelor's degree or paralegal certificate; 5+ years as a corporate paralegal at a public company; experience with SEC filings, corporate governance, managing commercial contracts; proficiency with contract management systems and e-signature tools. Preferred: biotech/pharma experience, international corporate support, notary public.
