Associate Paralegal – Corporate and Governance
Responsibilities:
- Support corporate governance matters: board/committee meetings, annual stockholders meeting, investor engagement, annual reports, and regulatory filings.
- Prepare board materials (agendas, presentations, meeting minutes); use board management/online D&O questionnaire platforms (e.g., BoardVantage preferred).
- Prepare and file regulatory filings; use filing software/services (e.g., EDGAR Next, Active Disclosure, Workiva, Section 16 Manager/Computershare; AI tools such as ChatGPT/Copilot preferred).
- Coordinate and schedule corporate governance/compliance meetings and events, including stockholder outreach.
- Conduct legal research on corporate law, securities regulations, and governance best practices (e.g., ChatGPT, Intelligize, Westlaw, LexisNexis, Red Book/Securities Act Handbook preferred).
- Maintain corporate records (minute books, board resolutions, etc.); use document retention/collaboration platforms (SharePoint, OneDrive, MS Teams preferred).
- Assist with drafting/reviewing/executing contracts and legal documents.
- Manage corporate administrative functions (draft/filings, signatures, databases); use DocuSign and subsidiary entity management platforms (CSC preferred).
Basic Qualifications:
- Bachelor’s degree OR Associate’s degree + 4 years legal experience OR High school/GED + 6 years legal experience.
Preferred Qualifications:
- ABA paralegal certificate or equivalent; paralegal experience in corporate/legal dept or law firm.
- Knowledge of corporate governance and securities regulations; strong Microsoft 365 skills; AI + document platforms.
- Learn new technologies quickly; strong organization, attention to detail, communication, independence, ethics/confidentiality.
