Role Overview
The Associate General Counsel, Corporate & Transactions will lead the U.S. and EU contracting function and serve as a senior legal partner to business leaders, reporting to the General Counsel.
Key Responsibilities
- Lead drafting, review, and negotiation of complex strategic transactions and agreements, especially business development and licensing.
- Serve as primary legal point of contact for questions and disputes involving Legend’s collaboration with Janssen (including BCMA program and related collaboration/license matters).
- Lead U.S. and EU contracting: supervise, mentor, and develop three direct reports; oversee contracting process, templates/playbooks, and contract lifecycle management systems.
- Support the General Counsel on corporate governance, securities, Board/committee matters, subsidiary management, intercompany arrangements, and other corporate projects.
- Maintain books and records for U.S. and EU subsidiaries; partner with tax/accounting on subsidiary governance and intercompany agreements.
Requirements
- 10+ years relevant legal experience, including complex transaction drafting/review/negotiation focused on business development and licensing in life sciences.
- Strong understanding of life sciences collaborations and licensing; ability to advise on contractual obligations and relationship-management.
- Experience advising senior leadership, Board, and stakeholders across R&D, Business Development, Clinical/Medical, Commercial, Operations, and Finance.
- Life sciences industry experience (ideally global publicly traded).
- Experience leading a contracting function or legal operations process, including managing direct reports.
- J.D. from an accredited U.S. law school; licensed to practice in one or more U.S. states, with NJ admission or eligibility for in-house NJ qualification.
- Preferred knowledge of applicable life sciences legal/regulatory environment (e.g., FD&C Act, FCA, Anti-Kickback, FCPA).
- Proficiency with Microsoft Office and digital contract lifecycle tools; clear, practical communication; strong organization and ability to prioritize.
