Position Summary:
The Associate Director, Corporate Counsel, Legal Contracts provides high quality contractual legal services. Drafts and negotiates agreements to protect company interests and ensure compliance with applicable laws, and oversees/optimizes contract-related policies and procedures.
Responsibilities:
- Draft, review, and negotiate a wide variety of agreements (e.g., Research & Development, Clinical Trial, Sponsored Research, Material Transfer, Licensing, Manufacturing, Master Services, Vendor, Consulting, Confidentiality, Operations, Commercial; other agreements as needed).
- Advise the business on contract matters (structuring, interpretation, compliance/enforcement, risk assessment, legal/regulatory compliance).
- Resolve legal/compliance issues through negotiation with sophisticated counterparties.
- Partner with the business to address current and future needs and resolve internal/external business and/or regulatory issues.
- Optimize, implement, and monitor contracting policies, procedures, and programs with the business and G&A functions.
- Maintain current knowledge of laws/case trends/regulatory developments and recommend improvements.
Education/Experience Requirements:
- J.D. from an ABA-accredited law school; active California Bar license in good standing, or qualified to practice in-house counsel in California.
- 6β8 years of attorney experience, preferably with corporate legal experience in life sciences (biotech/pharma/medical device) and law firm experience.
Skills/Experience/Requirements:
- Strong life sciences contract drafting/negotiation (collaboration, sponsored research, clinical trial, master services, license, supply, confidentiality).
- Strong drafting/negotiation; excellent written/verbal communication.
- Experience with contract management systems.
- Cross-functional collaboration, attention to detail, customer service mindset, urgency, independence, and ability to manage complex project plans; flexibility with changing plans.
- Onsite in San Diego required (not fully remote).
