Position Summary:
Associate Director, Corporate Counsel, Legal Contracts provides contractual legal services with discretion and sound judgment. Drafts and negotiates agreements to protect company interests, ensure legal compliance, and oversees/optimizes contracting policies, procedures, and programs.

Responsibilities:
- Draft, review, and negotiate a wide variety of agreements (e.g., Research & Development, Clinical Trial Agreements, Sponsored Research Agreements, Material Transfer Agreements, Licensing, Manufacturing, Master Services, Vendor, Consulting, Confidentiality, Operations, and Commercial agreements).
- Provide contract legal advice (structuring, interpretation, compliance/enforcement, risk assessment, legal/regulatory compliance).
- Resolve legal/compliance issues; negotiate with sophisticated counterparties.
- Partner with the business to address current/future needs and internal/external business or regulatory challenges.
- Optimize and monitor contracting policies, procedures, and programs with business and G&A functions.
- Maintain knowledge of new laws/case trends and regulatory developments; recommend improvements.

Education/Experience Requirements:
- J.D. from ABA-accredited law school; active California Bar license or qualified to practice as in-house counsel in California.
- 6–8+ years attorney experience with corporate legal in biotechnology/pharma/medical devices/life sciences (law firm preferred).

Additional Skills/Requirements:
- Strong life-sciences contracting experience (collaboration, sponsored research, clinical trial, MSAs, licenses, supply, NDAs).
- Strong contract drafting/negotiation; excellent written/verbal communication.
- Contract management system experience; cross-functional collaboration; attention to detail and big-picture thinking.
- Independent, fast-paced self-starter; customer service and urgency; complex project planning; adaptability.
- Onsite in San Diego required (not 100% remote).
