Associate Director, Clinical Transactional Counsel

What You’ll Do
- Direct negotiation and oversight of negotiations for clinical study agreements (including clinical trial agreements, confidentiality agreements, and related contracts) and clinical vendor agreements (including master service agreements, MTAs, and SOWs) aligned to development timelines
- End-to-end management of the clinical trial agreement process and global, multi-site trial strategy
- Partner with Clinical Operations, project leadership, and functional leaders to support delivery of negotiated contracts
- Review country-specific templates for clinical trial agreements, confidentiality agreements, MSAs, consulting agreements, and other development agreements to ensure regulatory compliance and incorporate lessons learned
- Review negotiation playbooks; update terms post-negotiation, ensure market alignment, and incorporate new country regulations
- Collaborate with Legal to assess risk
- Co-manage external site contract and budget functional service provider; participate in status meetings and governance/KPI reviews; facilitate annual work order review and execution

Who You Are and What You Bring
- JD and 8+ years’ experience in pharma/life sciences, with extensive clinical contract negotiation experience
- Demonstrated experience authoring, negotiating, and managing clinical trial agreements, MSAs, and other governing documents
- Experience providing clear, practical, business-oriented guidance on clinical contracting
- Knowledge of relevant local regulations
- Contract support experience across clinical trial start-up, maintenance, and close-out
- Knowledge of outsourcing and procurement processes (contract execution, purchase orders, and vendor invoice review)
