Associate Counsel, Life Sciences

Role: Commercially focused attorney supporting Certara's U.S. legal contracting functions within the biopharma sector. Responsibilities: negotiate and draft a broad portfolio of agreements including master services, SaaS, data privacy, vendor, and development contracts; manage matters from intake to signature; ensure consistent application of templates and playbooks; advise stakeholders across departments such as Sales, Privacy, and Procurement; contribute to process improvements and knowledge management. Requirements: JD and active legal license in the U.S.; 1-3 years of relevant experience in commercial transactions from law firms or in-house legal teams; strong drafting and negotiation skills, especially for MSAs, SaaS, and privacy agreements; familiarity with life sciences or health technology transactions, HIPAA, and GDPR preferred; excellent organization, judgment, and responsiveness.
