Role Summary

In this role, the VP, Commercial & Corporate Counsel serves as counsel to the commercial organization and leads the corporate, contracts, and employment functions of the legal department. The role provides legal guidance on commercialization issues as Dyne scales and prepares for anticipated launches of its first therapies, including advertising and promotion, FDA compliance, health care laws, value & access, patient programs, data privacy, and related federal/state pharmaceutical regulations. Also leads corporate governance, public filings, contracting, and employment matters. This role is based in Waltham, MA.

Responsibilities

  • Serve as counsel for Dyne’s commercial organization.
  • Advise on global pricing, value & access strategies, contracting, trade and distribution matters, and patient access programs.
  • Assess legal risk related to federal and state laws including the Anti-Kickback Statute, False Claims Act, FDA promotional regulations, antitrust, privacy, and pricing transparency laws. Propose practical, compliant solutions aligned with business strategies.
  • Lead and manage the corporate, contracting, and employment legal functions for Dyne including:
  • Oversee and lead the drafting, review, and filing of SEC disclosures, including Forms 10-K, 10-Q, 8-K, and proxy statements. Ensure compliance with the Securities Exchange Act of 1934, Regulation FD, and relevant stock exchange rules. Support insider trading policy administration and public disclosure processes.
  • Oversee and lead legal support for Board of Directors and committee meetings; oversee management of governance documents and corporate records; oversee legal aspects of the annual stockholder meeting and proxy development; advise on governance best practices.
  • Advise on corporate transactions including partnerships, mergers, acquisitions, and financings.
  • Business Partnership & Leadership within the Legal team.
  • Provide mentorship and leadership to members of the Legal team.
  • Serve as a proactive and collaborative partner with key functions including Commercial, Finance, Medical and Human Resources.
  • Represent Legal on cross-functional project and governance teams to support launch readiness and commercial objectives.
  • Support the Head of Legal and help mature Dyne’s commercial, corporate, contracting and employment capabilities.
  • Identify opportunities for process improvement and proactive legal risk management.

Qualifications

  • 15+ years of global commercial and health care law ideally within a commercial stage global biotechnology company and a top-tier law firm.
  • Deep expertise in FDA regulations, U.S. health care laws, and federal health care programs; rare disease; product launches; familiarity with ex-U.S. frameworks.
  • Strong understanding of PhRMA Code, Anti-Kickback Statute, False Claims Act, data privacy & security, and transparency laws.
  • Demonstrated content review committee experience in the pharmaceutical industry.
  • Experience advising on securities regulation, including securities law reporting, compliance and disclosure issues, shareholder meeting matters, stock exchange listing requirements, corporate governance, board matters, and executive and equity compensation.
  • Experience leading corporate transactions.
  • Proven success advising cross-functional teams (Commercial, Finance, Medical, Human Resources) on complex, time-sensitive matters.
  • Skilled at balancing strategic legal guidance with practical business judgment in fast-paced, evolving environments.
  • Exceptional communication, analytical, and project management skills with attention to detail and execution excellence.
  • Collaborative leadership style and enterprise mindset that reinforces organizational culture and values.
  • Experience thriving in a small, rapidly growing biotech or start-up environment with a solutions-oriented approach.

Education

  • JD from an accredited Law School; licensed to practice in at least one U.S. jurisdiction.
