Summary:
Support the Chief Legal Officer and Senior Management by leading business development transaction legal work (including M&A, licensing, and partnerships) and supervising/overseeing and escalating matters for the broader contracting function.

Responsibilities (Essential):
- Oversee and take ownership of contracting for business development transactions and M&A: draft, review, negotiate, and advise on agreements/transactions.
- Provide contract strategy direction (process, prioritization, and risk-based decisions) across the full contracting group.
- Serve as escalation authority for complex contracting matters, including non-standard terms and business-sensitive issues.
- Supervise and mentor direct reports; identify training opportunities.
- Partner with Regulatory, Finance, IT, Clinical, Manufacturing, Medical, and Commercial to support legal needs.
- Review, draft, and implement corporate policies and procedures.
- Advise Senior Management on legal issues and risk; assist General Counsel on other projects as needed.
- Manage outside counsel for transactions/M&A (budgeting, workflow oversight, and quality control).

Qualifications:
Requirements:
- JD and State Bar admission.
- Minimum 10 years major law firm or in-house experience (3 years in-house in pharma/biotech preferred).

Skills/Abilities:
- Exceptional written/verbal communication; strong organization and attention to detail.
- Strong Microsoft Office skills (Word, Excel, Outlook).
- Ability to multi-task and deliver quality work in a fast-paced environment.
- Experience supervising legal professionals/contract specialists strongly preferred.
- Experience with licensing/collaboration agreements/M&A/life-sciences business development.
- Strong corporate legal knowledge (contracts and compliance) for pharma/biotech.
