Role Summary

Senior Corporate Paralegal responsible for supporting the Corporate Legal Affairs team in securities and corporate governance, including management of corporate legal records and some support for SEC filings, contracts, business transactions, employment, and investor relations as assigned.

Responsibilities

  • Develop and maintain standardized workflow checklists and calendaring related to SEC rules, processes, and corporate governance; act as a primary coordination resource for internal clients
  • Assist in-house legal and finance teams with preparation and review of SEC reports; manage all related SOX compliance procedures for the Corporate Legal Affairs team
  • Help prepare and/or review Section 16 filings; assist with filing procedures and organize/maintain related documentation for Corporate Legal Affairs records
  • Serve as administrator for Securities Compliance Committee; manage rules, procedures, and participant documentation/onboarding relating to Insiders Trading Policy, Rule 10b5-1 Trading Policy, and Change-in-Control and Severance Benefit Plan
  • Oversee day-to-day management and maintenance of corporate governance records (minute books, charter documents, entity management, service of process) and procurement of corporate formalities from senior management and/or governmental authorities
  • Coordinate preparation and review of materials for stockholder, Board of Directors, and committee meetings (presentations, talking points, meeting minutes/resolutions/written consents, charters, governance policies, performance assessments, D&O questionnaires); manage digital governance and virtual meeting platforms and director compensation program
  • Manage cloud transition of the Corporate Legal Affairs electronic file management system; create standardized organizational framework and maintain/update files weekly or more frequently
  • Support broader in-house legal team and outside counsel with litigation activities, including document discovery, as needed
  • Provide due diligence support for M&A and similar activities as needed
  • Coordinate and assist with Corporate Legal Affairs training sessions and internal corporate strategy meetings; prepare materials and deliver presentations
  • Assist legal team leaders with budget and invoice activities related to outside counsel and other vendors
  • Other responsibilities as assigned

Supervisory Responsibilities

  • May supervise temporary employees, consultants, and interns for certain projects

Education

  • BS/BA degree in related discipline or certificate from an ABA-approved paralegal program

Experience

  • Minimum of five years of corporate paralegal experience at a large law firm or in-house corporate legal department of a publicly traded company
  • Experience drafting SEC reports (10-K, 10-Q, 8-K, proxy) is a plus
  • Experience with presentations of corporate sustainability programs, or familiarity with GDPR, CCPA, HIPAA and other privacy laws is a plus

Knowledge / Skills

  • Familiar with SEC reporting processes and timelines (including equity compensation/Section 16 and Annual Stockholder Meeting) and experience using standard corporate legal resources
  • Proficient in Microsoft Office Suite; Box; redlining software; familiarity with board management software, Workiva, Smartsheet is a plus
  • Analytical and strong business communication skills (written and verbal)
  • Highly organized with strong attention to detail and proofreading skills
  • Interpersonal skills; ability to work independently and with others
  • Ability to multitask and re-prioritize with supervisor input
  • Ability to follow verbal and written instructions with precision
  • Ability to maintain a detailed and effective record-keeping system and maintain confidentiality
  • Good judgment and a positive, can-do attitude
