Role Summary

The Senior Corporate Counsel, Contracts supports the company by setting material terms of business transactions, drafting and negotiating definitive and ancillary agreements, and organizing processes to transact efficiently. The role also provides transactional oversight with Legal and operations to ensure R&D activities are conducted with appropriate business and legal risk considerations.

Responsibilities

  • Drafts, reviews, and negotiates a wide range of contracts in support of Research and Development, including confidentiality, collaboration, licensing, consulting, materials transfer, clinical trial, advisory board, vendor services, and manufacturing agreements for cGMP drug supply, with a high degree of independence.
  • Acts as a legal point person for ongoing agreements in support of R&D efforts.
  • Reviews redlines, supervises negotiations, and provides guidance to junior attorneys and contracts managers.
  • Maintains up-to-date form agreements aligned with industry standards and applicable laws.
  • Identifies operational and legal risks and communicates them to internal decision-makers for discussion and resolution.
  • Cultivates cross-functional relationships to address legal and business questions.
  • Represents the company effectively.
  • Handles miscellaneous legal tasks as needed.

Qualifications

  • Education: BS/BA in life sciences or related field; advanced life science degree preferred.
  • JD required; 6–8 years of relevant experience; admitted to practice law, preferably in California.
  • Experience: Attorney in a law firm or in-house in biotechnology or pharmaceutical industry; complex contract drafting and negotiation with substantial R&D support.

Skills

  • Clear and concise verbal and written communication; excellent interpersonal skills.
  • Proficient in Microsoft Office Suite and document management/redlining software.
  • Detail-oriented with strong organizational skills.
  • Ability to manage multiple tasks, re-prioritize quickly, and distinguish mission-critical work.
  • Strong judgment, ability to make complex decisions, work under pressure, and meet deadlines.
  • Ability to work independently and in a team; high professional standards; self-starter and quick learner.

Education

  • BS/BA in life sciences or related field; advanced life science degree preferred.
  • JD required; 6–8 years of relevant experience; admitted to practice law (preferably in California).

Additional Requirements
