Corporate Paralegal (Paralegal III)

Responsibilities:
- Securities and Exchange Commission (SEC) Matters: file and assist in preparing quarterly, annual, and other SEC reports (Forms 10-K, 10-Q, 8-K, 11-K, and SD—Conflict Minerals Disclosure); lead preparation of certain SEC documents, including Section 16 filings (Forms 3, 4 and 5) and 13-Fs; collaborate with internal stakeholders (Office of General Counsel attorneys, finance, accounting, treasury) and external vendors; prepare and manage SEC and other regulatory filing checklists, gather exhibits, and coordinate with cross-functional teams (finance, investor relations, external counsel) to obtain required information; prepare legal onboarding documentation for new officers and directors and update templates as needed.
- Other Securities Matters: assist with NYSE listing requirements (including periodic attestations); stay current on legal and regulatory developments.
- Director Compensation: manage Director compensation, ensuring timely and accurate payments; orient new Directors on the director compensation program; address Directors’ ongoing questions regarding program administration.
- Other Governance Matters: assist with corporate organization maintenance for subsidiaries, including preparing resolutions and unanimous written consents; prepare memos for officers and directors related to securities filings.

Successful Candidate Will Be Expected To:
- Maintain confidentiality and discretion with sensitive corporate information.
- Review, draft, and/or develop legal documents and communications independently.
- Conduct legal and factual research independently, as appropriate.
- Respond to inquiries with sound advice on complex issues under attorney direction, as appropriate.
- Lead/guide process improvement initiatives to streamline tools and improve legal support productivity.
- Cultivate stakeholder relationships; manage fast-paced, demanding deadlines.

Qualifications:
- Education: High school degree required; bachelor’s degree or paralegal certificate preferred.
- Experience: minimum 5 years of relevant experience; experience in corporate governance or securities at a major public company or law firm.

Preferred Skills:
- Expertise in public company governance, Section 16 reporting obligations, and SEC rules impacting disclosure obligations.
- Ability to work independently with high discretion on sensitive matters.
- Excellent written and verbal organization and communication skills.
- Self-motivated, detail-oriented, adaptable, decisive; mature independent judgment; strong team and autonomous work capability.
- Leadership presence and business acumen.
- Advanced MS Office Suite; willingness to learn new technology/software (e.g., Section 16 Manager, Workiva).
