Role Summary

Legal Counsel - Corporate will support Perrigo’s Deputy General Counsel in a broad range of corporate matters, including SEC and securities regulation, financial reporting, governance, mergers and acquisitions, tax, and treasury. You will operate within Perrigo’s Corporate Legal team, providing strategic legal counsel across Corporate Finance, Investor Relations, Business Development, and Corporate Governance. The role is based at Perrigo’s North American Headquarters in Grand Rapids, Michigan or in Morristown, New Jersey with a hybrid schedule.

Responsibilities

  • SEC, Investor Relations & Corporate Finance: Support Perrigo’s public‑company reporting, investor communications, and corporate governance activities, including:
    • Assisting with the quarterly and annual reporting cycle, including review of Forms 10‑Q and 10‑K; evaluating materiality considerations; updating risk factors; and monitoring emerging disclosure trends.
    • Assessing Form 8‑K filing requirements and preparing 8‑K disclosures as needed.
    • Providing Investor Relations support, including reviewing press releases, investor presentations, earnings call scripts, and Q&A materials.
    • Advising on non‑GAAP financial measures, Regulation G compliance, and related disclosure and interpretive issues.
    • Counseling on insider‑trading compliance, including administration of 10b5‑1 plans, blackout windows, pre‑clearance processes, and employee education.
    • Advising on Section 16 reporting obligations and related director and officer matters.
    • Supporting ongoing compliance with NYSE listing standards and corporate governance requirements.
    • Assisting with annual proxy statement updates and related shareholder‑facing disclosures.
  • M&A: Lead and support Perrigo’s global M&A and strategic transaction activity, including:
    • Managing and coordinating cross‑functional legal workstreams on acquisitions, divestitures, strategic partnerships, and other transformative transactions.
    • Conducting and overseeing due diligence; drafting, reviewing, and negotiating transaction agreements; and supporting carve‑out, integration planning, restructuring, and related corporate approvals.
    • Preparing and coordinating antitrust/competition and other regulatory filings across multiple jurisdictions.
    • Advising senior leadership on transaction risks, opportunities, and structuring considerations in a dynamic multinational environment.
  • Tax & Treasury: Provide legal guidance on tax & treasury matters, including financing activities; M&A-related tax structuring; and domestic and international tax matters.
  • Board & Governance: Provide targeted, strategic support on Perrigo’s Board of Directors and governance framework for a NYSE‑listed, Irish‑domiciled company.
  • General Corporate Matters: Provide legal support on a broad range of general corporate matters, including entity management, corporate compliance, and other day‑to‑day corporate legal issues impacting the company’s operations. Serve as a cross functional strategic partner to Finance, Tax, and Global Business Development.

Qualifications

  • A qualified and licensed attorney; admission to practice law in a US jurisdiction preferred.
  • Typically 6-10+ years of legal experience working with US publicly traded companies, preferably with a combination of law firm and in-house experience.
  • The ideal candidate will have a proven track record of supporting a public company.
  • Demonstrated ability to manage senior executive relations and ability to collaborate and build relations with stakeholders across functional and organizational lines.
  • Strong understanding of relevant laws and regulations governing the industry, combined with an ability to explain complex legal concepts in simple, actionable terms to stakeholders located in different jurisdictions.
  • Strong strategic thinking and business acumen, with the ability to balance legal considerations with business objectives.
  • Exceptional leadership, interpersonal and communication skills, including well‑developed interpersonal skills and strong written communication skills.
  • Discretion & Integrity – the ability to handle sensitive information with the highest level of confidentiality and ethics.
  • Project management skills – the ability to manage multiple legal matters and deadlines. Familiarity with legal tech tools is also a bonus.
