Role Summary

Global Head IP Transactions — Location: Cambridge, MA or East Hanover, NJ USA. Lead high-energy, high-impact patent and IP diligence across more than 100 M&A and BD&L deals annually, shaping strategic decisions and driving IP excellence for transformative medicines.

Responsibilities

  • Coordinates, manages, leads, and drives the IP diligence and strategy for transactions (M&A and BD&L), analyzing IP issues (patents, trademarks, trade secrets) with enterprise, legal, and IP functions to provide proactive, timely, thorough advice.
  • Provides clear, well-communicated IP advice for all M&A and BD&L deals, with attention to time-sensitive transactions including non-standard hours.
  • Develops and drives the IP and regulatory transaction governance framework, tools, processes, and leads high-visibility, complex global IP transactions projects.
  • Advises the Global Head IP and the Global Head Legal Transactions and other senior leaders on IP transactions and risk exposure, including strategies to minimize adverse consequences.
  • Builds interfaces with M&A/BD&L colleagues to ensure IP staff can advise on all IP aspects of transactions and manages external counsel.
  • Ensures information exchange and know-how across the enterprise and provides training to align in-house and external lawyers on IP transactions; proactively inform stakeholders of IP issues impacting deal business cases.
  • Leads the IP Transactions team to deliver timely, proactive, targeted, high-quality services.
  • Retains and develops key talents within IP, particularly in IP transactions.
  • Member of IP Leadership Team (IPLT) and Transactions Legal Leadership Team (TLLT).

Qualifications

  • JD from an accredited law school; admitted to practice in a major US commercial jurisdiction (e.g., NY, MA, NJ).
  • Extensive, multi-year IP transactions and diligence experience within a pharmaceutical company or health care clients, including experience leading a team.
  • Knowledge of Regulatory, Antitrust, Contracts; understanding of Corporate and Tax.
  • Proven ability to handle time pressure and a high volume of complex projects simultaneously.
  • Proficiency in English (written and spoken); other languages are a plus.
