Director, Exec Compensation

Purpose
- Set and lead enterprise strategy, design, governance, and delivery of executive compensation programs (base pay, annual incentive, long-term incentive, and executive benefits/perquisites).
- Advise CEO/CHRO/CFO and senior leadership; partner with the Board Compensation & Benefits Committee; ensure alignment to business strategy, talent outcomes, shareholder expectations, and regulatory/competitive environment.

Key Responsibilities
- Own global executive compensation philosophy and program architecture; align to strategy, performance, and shareholder perspectives.
- Advise on executive pay decisions, governance, and risk using market-informed, data-driven recommendations.
- Lead materials/recommendations for leadership and the Board (annual cycles, special topics, ad hoc requests).
- Oversee executive market benchmarking; interpret pay levels and pay-for-performance outcomes.
- Continuously improve executive compensation processes, tools, and governance (effectiveness, transparency, scalability).
- Oversee executive lifecycle compensation decisions/administration (reviews, promotions, offers, transitions, separations).
- Own disclosure strategy/delivery (CD&A, proxy tables, analyses for public filings).
- Oversee proxy advisor readiness/modeling (ISS/Glass Lewis); monitor regulation, accounting/tax impacts, and shareholder voting trends.
- Set compensation communications strategy.
- Lead cross-functional governance partnerships (Legal, Finance/Accounting, Tax, Audit, Total Rewards, independent consultant).
- Build and develop the executive compensation team.

Qualifications/Requirements
- Bachelor’s degree required; advanced degree strongly preferred.
- 12+ years in executive/equity compensation program design/governance/delivery (global environment).
- 5+ years people leadership.
- Exceptional communication; discretion; strong analytical/financial/governance acumen; ability to synthesize complex inputs and manage multiple workstreams.

Preferred Requirements
- MBA or advanced degree in HR/Business/Finance/Economics (or related).
- Experience in a highly regulated, publicly traded global company; healthcare/life sciences preferred.
