Role Summary

Director, Corporate Counsel - Privacy / Transactions will serve as a privacy expert within the Transactions & Contracts team, acting as the liaison to the Data Privacy Office. The role involves drafting, reviewing, negotiating, and providing strategic counsel on a diverse portfolio of agreements across Regeneronโ€™s business units, ensuring privacy provisions are integrated into contracts. The position requires advising on complex privacy issues with a deep understanding of life sciences, business transactions, and data privacy.

Responsibilities

  • Provide legal support for various business transactions, including research collaboration agreements, master services agreements, consulting services agreements, license agreements, data use agreements, laboratory services agreements, and confidentiality agreements.
  • Maintain subject matter expertise in data privacy laws and Regeneron privacy policies; advise Transaction Law colleagues and clients on developments of importance.
  • Provide ongoing one-on-one support to Transaction Law team; coordinate with internal teams and external resources to negotiate and finalize data privacy language in third-party agreements.
  • Respond to U.S. and non-U.S. contracting questions.
  • Update and manage the groupโ€™s data privacy contracting playbook.
  • Create data privacy contracting tools and training materials.
  • Manage office hours with internal business partners; develop training on privacy contracting tools and requirements.
  • Act as liaison for the Transactions Law Group with the Data Privacy Office on data privacy policy questions and approaches.

Qualifications

  • Required: JD with excellent law school credentials; licensed to practice law in New York or eligible for in-house counsel licensure.
  • Required: At least 7 years of legal experience in a law firm and/or in-house, with some biotech/pharmaceutical and/or health care experience preferred.
  • Required: Solid understanding of contracts and related law; experience with contracts involving data privacy and intellectual property; strong business acumen; excellent contract drafting and negotiation proficiency; exceptional oral and written communication skills; strong interpersonal and conflict resolution abilities.
  • Preferred: Experience in life sciences or health care sectors; ability to work independently under aggressive deadlines while maintaining stakeholder partnerships.

Additional Requirements
