Brief Description
- Lead corporate, securities, and governance matters for a publicly traded company; ensure SEC/Nasdaq compliance; support board matters; advise on corporate governance, investor relations, and executive compensation.
Essential Functions/Responsibilities
Securities and Corporate Governance
- Ensure compliance with federal/state securities laws (β34 Act, β33 Act reporting), Nasdaq compliance, Regulation FD, and insider trading.
- Prepare and/or review SEC filings: Form 10-K, 10-Q, 8-K, proxy statement, Section 16, and registration statements.
- Maintain governance policies and practices (governance guidelines, committee charters, governing documents).
Investor Relations and Executive Compensation
- Review/advise quarterly earnings releases, investor presentations, quarterly/annual reports, sustainability reports, and other external communications.
- Advise on executive compensation activities; maintain/update form equity award agreements and related activities.
- Support Total Rewards team administration of employee compensation benefits programs.
Other
- Collaborate with finance, accounting, tax, internal audit, and others as needed.
- Provide secondary support for capital markets transactions (debt offerings, credit agreements, treasury matters) and strategic transactions (M&A support, dispositions, joint ventures, investments).
- Support corporate governance, including Corporate Sustainability and Social Impact/ESG.
Required Knowledge/Skills/Abilities
- J.D. from accredited law school; licensed to practice law in the U.S.; state bar membership in good standing.
- 7+ years combined in-house and/or law firm experience; biotech/pharma experience preferred.
