Brief Description:
The Director, Corporate and Securities reports to the Executive Director, Corporate and Securities and is a key member of the Legal department, providing leadership on corporate, securities, and governance matters.
Essential Functions/Responsibilities:
- Ensure compliance with federal/state securities laws, focusing on β34 Act and β33 Act reporting, Nasdaq compliance, Regulation FD, and insider trading.
- Prepare and/or review SEC filings including Form 10-Ks, 10-Qs, 8-Ks, proxy statement, Section 16 filings, and registration statements.
- Maintain governance policies and practices (corporate governance guidelines, committee charters, other governing documents).
- Review, advise, and assist with quarterly earnings releases, investor presentations, quarterly/annual reports, sustainability reports, and other external communications.
- Advise on executive compensation activities; maintain/update form equity award agreements.
- Support the Total Rewards team with administration of employee compensation benefits programs.
- Collaborate with and advise cross-functional teams (finance, accounting, tax, internal audit, etc.).
- Assist with capital markets and treasury matters; support strategic transactions (M&A, dispositions, joint ventures, investments).
- Provide corporate governance support including Corporate Sustainability and Social Impact/ESG.
Required Knowledge, Skills, and Abilities:
- J.D. from an accredited law school; licensed to practice law in the U.S.
- Member in good standing in a state bar with no prior suspensions or disciplinary history.
Required/Preferred Education And Licenses / Experience:
- Minimum 7 years combined in-house and/or law firm experience; biotech/pharma experience preferred.
