- Draft, review, and negotiate agreements; advise management on proposed transactions and compliance with contractual obligations, regulations, company policy, and corporate/commercial law.
- Work with internal clients (scientific and business leaders) on collaborations, licensing arrangements, and other strategic transactions.
- Draft, review, and negotiate IP/technology license agreements, collaboration agreements, material transfer agreements, sponsored research agreements, confidentiality agreements, and consulting agreements.
- Partner with the Law Departmentβs M&A/Transactions group to support IOPSβ role in corporate transactions, including advising on manufacturing, supply chain, regulatory, and technology transfer aspects.
- Coordinate with the IP group to ensure accurate protection of IP assets.
- Partner with regulatory, quality, and compliance groups on regulatory/legal matters affecting arrangements (including GMP requirements, FDA and international frameworks, privacy, antitrust, and corporate/commercial law).
- Oversee and coordinate relevant matters handled by outside counsel.
- Serve as an embedded member of the IOPS Law Group to provide proactive, informed legal counsel.
This Role Requires
- BA/BS and JD with strong law school credentials; 8β12+ years relevant experience.
- Active NY bar membership or eligibility for licensure as registered in-house counsel.
- Technology and IP licensing experience (biotech/pharmaceutical/life sciences preferred).
- Experience drafting transactional documents and advising on IP/technology licensing.
- Experience in corporate, privacy, and regulatory matters in biotech/pharmaceuticals, including GMP environments; experience supporting/collaborating with M&A/transactions teams on manufacturing or supply chain matters.
