Position Summary
Counsel, Business Development Transactions Legal provides legal counsel and transactional support to BMS’ business development organization, with primary focus on advising Alliance Management for completed business development agreements (licensing, collaboration, strategic partnerships). Supports post-execution contract management, rights/obligations, governance and compliance, and dispute-related matters.
Key Responsibilities
- Draft, review, and negotiate agreements, amendments, consents, waivers, and termination notices.
- Advise business development on agreement management, including interpretation of rights/obligations; governance, decision-making, compliance, and operational execution.
- Support transition of newly executed transactions to Alliance Management (knowledge transfer, contract summaries, governance setup).
- Identify, escalate, and help resolve disputes/disagreements in existing agreements, including pre-litigation counseling.
- Develop training materials (programs, playbooks, practical guidance) to strengthen alliance management practices.
- Oversee external counsel relationships to ensure quality, timely, and cost-effective support.
- Monitor contract law, regulations, and industry best practices to ensure compliance.
Qualifications & Experience (Required/Preferred)
- J.D. and admission to a state bar.
- 5+ years legal experience in business development, licensing, collaboration, and/or corporate transactions.
- Solid understanding of bio-pharmaceutical/life sciences.
- Strong contract interpretation, analytical, and drafting skills.
- Sound judgment; ability to identify when escalation is required.
- Preferred: experience supporting Alliance Management / post-execution contract management.
- Ability to manage multiple alliance matters in a matrixed environment.
- Strong interpersonal skills; partner effectively with Alliance Managers.
- High integrity and commitment to BMS values.
