Position Overview
Counsel (Transactional Business Attorney) focused largely on contracting for Adaptiveβs Legal team, supporting sales and EMR integration teams offering the clonoSEQ diagnostic assay.
Key Responsibilities And Essential Functions
- Draft, review, and negotiate laboratory services agreements (LSAs), electronic medical record (EMR) integration agreements, and other contracts related to the clonoSEQ assay.
- Lead internal risk mitigation and compliance with government contract terms.
- Partner with privacy and compliance attorneys and teams across market access, marketing, finance, security, and operations to identify, evaluate, and mitigate risks.
- Support NDAs, vendor contract reviews, and vendor management matters.
- Advise on routine legal inquiries (contract interpretation, compliance alignment, and risk assessments).
- Develop and maintain contract templates, negotiation playbooks, policies, and legal processes (may include use of AI tools).
- Stay current on laws, regulations, and industry trends.
Required
- Juris Doctor from an accredited law school and current U.S. state bar membership.
- 5+ years of in-house or law firm transactional legal counsel experience.
- Ability to travel 1β2 times per year.
Preferred
- 2β3 years in a law firm environment.
- Biotech/life sciences (particularly diagnostics) experience.
- Familiarity with FARs/DFARs and government contracting terms.
- Privacy/regulatory comfort (e.g., DPAs/BAAs).
- Strong business communication, judgment, multi-tasking, and project management.
