Role Overview
- Corporate Paralegal (Cambridge, MA; in-office at least 3 days/week)
- Support day-to-day legal operations and corporate matters, including contracts, corporate governance, securities, and compliance.
Responsibilities
- Contract lifecycle management for day-to-day and complex biotech/pharma contracts.
- Maintain contract records and manage the companyβs contract management system (Agiloft).
- Coordinate with internal clients and external parties to facilitate contract execution.
- Manage legal billing processes, including use of the legal billing system (SimpleLegal) and data entry.
- Support improvements to legal department processes, templates, and workflows.
- Provide general paralegal and administrative support to the legal team.
- Support corporate governance: Board/committee meeting materials (agendas, resolutions, minutes, consents), maintain corporate records/minute books, manage online Board portal, and support officer/director onboarding/offboarding.
- Support SEC filings (10-K, 10-Q, 8-K, proxy statement): disclosures/tables, filing calendars, D&O questionnaires, and Section 16 reports.
- Support logistics for annual meeting of stockholders (vendor communication, calendars, meeting materials).
- Manage state qualifications (applications, withdrawals, annual reporting).
- Support equity administration with Finance and People teams, including Equity Incentive Committee consents and review/execution of 10b5-1 plans.
- Help develop and maintain organization-wide processes related to securities reporting, compliance, equity administration, and contracts.
- Support strategic transactions (due diligence, data room administration, document preparation, post-closing administration).
- Other tasks as assigned.
Qualifications
- BS/BA degree.
- Paralegal certificate or coursework preferred but not required.
- 0β2+ years of experience as a paralegal, legal assistant, or related legal/compliance role (law firm or in-house a plus, not required).
- Interest in corporate law, public company compliance, and life sciences/biotechnology.
- Professional discretion; ability to handle confidential and sensitive matters.
- Strong attention to detail and organizational skills; ability to meet critical deadlines.
- Strong project management; ability to prioritize multiple duties and projects.
- Excellent communication skills, customer orientation, and resilience.
- Ability to understand and ensure compliance with legal department and cross-functional requirements/processes/procedures.
- Self-motivated, flexible, collaborative, eager to learn.
- Proficiency with Microsoft Office (Word, Excel, Outlook, PowerPoint).
- Experience with billing, contract management systems, and Board of Directors portals is a plus but not required.
