Responsibilities:
- Support compliance with SEC and NASDAQ rules (10-Ks/Qs, 8-Ks, Section 16 filings, proxy and registration statements).
- Partner with clinical development on clinical trial start-up and maintenance.
- Draft, review, and negotiate clinical trial agreements; review and finalize patient informed consent forms and related materials.
- Review, draft, and negotiate other R&D agreements.
- Collaborate with investor relations on external communications (corporate website, press releases, investor presentations).
- Provide transactional support for financing and strategic external arrangements.
- Advise on equity plan administration with finance and people teams.
- Oversee compliance policies (Code of Business Conduct and Ethics; Insider Trading Policy) and promote a compliance culture.
- Assist with annual stockholdersβ meetings.
- Support corporate governance and third-party compliance obligations; advise management and monitor corporate governance best practices.
Qualifications:
- 4+ years of corporate legal experience (biopharma and/or nationally recognized law firm; preferably 2+ years at a recognized law firm).
- J.D. from an accredited school; active membership in at least one state bar.
- Demonstrated corporate expertise, including SEC/NASDAQ rules, corporate governance, and corporate finance.
- Preference for life sciences contract review/drafting/redlining/negotiation experience (not required).
