Role Overview
The Corporate Counsel will be responsible for the review, drafting, and negotiation of a wide range of commercial agreements, providing practical, business-oriented legal advice to internal stakeholders. Primary legal partner for day-to-day contracting needs of designated business functions; works with senior attorneys and cross-functional stakeholders. Reports to the Deputy General Counsel.
Key Responsibilities
- Lead drafting, review, negotiation, and execution of commercial, procurement, and other contracts for US and EU commercial, R&D, and clinical operations (e.g., master service agreements/SOWs, manufacturing and supply agreements, quality agreements, confidentiality, consulting incl. healthcare professionals, SaaS, staffing, and other contracts).
- Partner with stakeholders (Procurement, Finance, IT, Commercial, R&D, Clinical, Medical) to drive contracts/transactions to conclusion.
- Support contract intake and prioritization with Legal Operations.
- Improve contracting processes/workflows; assist with implementation, maintenance, training, and enforcement of contract policies/procedures/systems.
- Develop and maintain standard contract forms, templates, and playbooks.
- Support ad hoc legal matters and cross-functional projects as assigned.
Requirements
- 4β8 years of relevant experience drafting/reviewing/negotiating complex agreements; in-house life sciences/pharma experience preferred.
- J.D. from an accredited US law school; high academic achievement.
- Licensed to practice in one or more US states; admission to NJ Bar or eligibility for NJ in-house qualification.
- Preferred knowledge of life sciences regulatory/legal environment (FDCA, False Claims Act, Anti-Kickback Statute, FCPA and similar laws).
- Proficiency with Microsoft Office Suite and digital contract lifecycle management tools.
- Clear/practical communication; collaborative mindset; strong organization and ability to manage multiple matters.
- Ability to prioritize, influence senior leaders, and independently drive transactions/processes.
