What You’ll Do
- Lead legal due diligence for strategic transactions, advising on transaction structures and business terms.
- Prepare non-binding term sheets and oversee negotiation and execution of definitive agreements aligned with business and legal objectives.
- Serve as primary responsible attorney on strategic deals throughout the transaction process.
- Collaborate with business development, finance, tax, R&D, and commercial teams.
- Work with intellectual property attorneys and other legal experts as needed.
- Manage and optimize engagement and performance of outside law firms.
- Oversee budgets for legal services and ensure external work quality and timeliness.
- Ensure transactional activities comply with internal policies and applicable laws and regulations.
- Provide ongoing legal advice and support to internal clients in business development and other departments.

Required Skills / Qualifications
- Minimum 12 years’ experience in corporate department of a leading law firm and/or in-house corporate legal department.
- Experience with mergers and acquisitions, collaborations, consortiums, venture capital transactions, and license agreements.
- Juris Doctor (JD) degree with active bar licensure.
- Exceptional intellectual capacity and business counseling presence.
- Strong decision-making intuition and communication skills.
- Proven ability to establish and manage legal and risk-management business practices.
