Role Summary
The Associate Director, Corporate Contracts and Legal Operations leads contract review, negotiation, and contract strategy across multiple functional areas (IT, Finance, Supply Chain, Quality, R&D/Clinical Operations, Marketing, Alliance Management, Compliance, Corporate Procurement, and Facilities & Administrative Services). The role oversees Law Department operations including budgeting, billing, and contract management systems, and may supervise a small team of attorneys, contract managers, paraprofessionals, and administrative staff.
Responsibilities
- Independently draft, review, negotiate and finalize contracts on Amneal templates and third-party paper, including confidential disclosure agreements, master services agreements and related SOWs and PSAs, consulting agreements (HCP and non-HCP), SaaS/software licensing agreements, manufacturing and supply agreements, logistics and warehousing agreements, and other commercial agreements. Develop junior resources with respect to contract drafting, review and negotiation capabilities. Conduct organizational training with respect to contract processes.
- Independently identify legal issues for management and functional team review; facilitate decision making and information sharing among functional groups; respond to legal questions from businesspersons relating to contract interpretation and management; optimize processes and focus on continuous process improvement to achieve contracting efficiencies. Lead projects and work on, analyze and develop contracting systems in order to advance and fulfill corporate strategies. Upgrade contract management tools; review and analyze available tools, conduct vendor demos and evaluations of new technologies; work on continuous improvement of contract management, legal operations systems and tools.
- Responsibility for Legal Operations, including, without limitation, implementation, maintenance and oversight of Company's contract management systems and tools, integration and alignment of Company's legal billing and budgeting systems and tools with Law Department operational processes, and serving as key interface with SSS team indirect procurement officer with respect to all indirect spend incurred in connection with Law Department budget; assist with and review all Law Department budgeting, sit on interview panels for new hires and assist with and support Department hiring practices.
- Perform cross-functional coordination with businesspersons requesting legal's review or preparation of contracts to understand objectives and conduct review based on business needs and expectations; manages a team of attorneys, contract management professionals, para-professionals, and/or administrative assistants.
- Performs contract maintenance and lifecycle management, including amendments, uploading executed agreements and other functions, as necessary or required. Ensures compliance with company policies regarding contract approval authority, and valid execution and delivery; Oversees and supervises data entry to ensure accurate records. When necessary, works with internal audit function where contracting and related processes bear on internal controls. Develops new Company policies, review and revise Company policies relating to contracting, AI and other new Law Department tools and technologies.
- Conduct research and gather information using general and legal research tools.
- Project-based responsibilities: lead cross-functional teams on initiatives such as development/implementation/integration/training for a contract management system; lead a team that includes Finance, Corporate Procurement, IT, and Legal colleagues, as well as certain contract "super users" across the organization.
Qualifications
- Experience: 10+ years of legal experience with proven ability to work independently, directly with senior business colleagues, and with minimal supervision from more senior attorneys
- Experience: 5+ years of pharmaceutical/life sciences experience
- Experience: 5+ years of experience managing teams of contracting professionals, paraprofessionals, and administrative assistants to lead a contract function

- Bachelor's Degree (BA/BS) - Required
- L.L.M or J.D. from accredited US law school - Preferred
