Role Summary

Exelixis is seeking an Associate Corporate Counsel - Commercial to join the Commercial Legal team. This person will be an integral member of the Legal Department and will have the opportunity to operate both independently and as a member of a team in a dynamic environment. The attorney in this position will support and work collaboratively with the Commercial Department, providing transactional support and legal advice to the Marketing, Sales, Market Access, and Strategy & Analytics teams.

Responsibilities

  • Draft, revise, negotiate and manage a wide range of contracts, which may include, but are not limited to, purchase and distribution agreements, master services agreements, PBM agreements, consulting/professional services agreements, and statements of work.
  • Advise and troubleshoot on existing agreements.
  • Identify risks and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution.
  • Liaise with various internal clients effectively to address legal and business questions.
  • Ensure contracts accurately convey business terms while protecting Exelixis’ interests.
  • Ensure continuity and improvement in the quality, efficiency, and effectiveness of contracting systems, processes, and procedures.
  • Support the ongoing development of templates and playbooks in your area of support in collaboration with other Legal Department team members.
  • Handle a broad variety of miscellaneous legal tasks on an as needed basis.

Qualifications

  • JD degree required with 2 years of related experience; or
  • Must be admitted to practice, preferably in California
  • BS/BA degree; optimally in life sciences or a related field.
  • Equivalent combination of education and years of experience.
  • Two to four years of relevant transactional experience as an attorney in a law firm or in-house legal environment.

Education

Additional Requirements
