Position Summary:
Assistant General Counsel, Business Development Transactions Law, provides enterprise-level legal leadership and people management supporting BMS business development strategy; leads a team covering the full lifecycle of licensing, collaboration, acquisition, divestiture, equity investment, and alliance-related transactions.
Key Responsibilities:
- Set and execute legal strategy for BD Transactions aligned to enterprise priorities, portfolio strategy, and risk tolerance.
- Advise Business Development on complex/novel transaction structures.
- Anticipate deal trends, regulatory developments, and industry dynamics; proactively manage legal/business risk.
- Oversee structuring, drafting, and negotiation of high-value, high-complexity BD transactions (licensing, collaborations, M&A, equity investments, divestitures).
- Lead legal due diligence, coordinating across IP, litigation, antitrust, regulatory, tax, and other teams.
- Lead/develop BD Transactions attorneys; drive performance management and talent development.
- Use business acumen and judgment to navigate complex, matrixed organizations; provide practical, service-oriented legal advice.
Qualifications:
- J.D. and admission to a state bar.
- 15+ years legal experience in biopharmaceutical/life sciences, leading/drafting/negotiating complex agreements.
- Proven experience leading large, complex, high-risk transactions and advising senior executives.
- Leadership experience in matrixed environments.
- Ability to manage multiple fast-paced high-priority matters; exceptional judgment/strategic thinking; strong executive communication; strong risk assessment and cross-functional problem-solving.
Compensation & Benefits (as listed):
- $290,450–$351,951.
